GODLEY MORRIS GROUP COMPANIES AND AFFILIATES
- GODLEY AUCTION COMPANY, INC.: Formed in the 1930's as a Livestock Auction Company, headquartered in Charlotte, NC, is now the largest independent Auction company in the Southeast. The company also has offices in Darlington, SC, Orangeburg, SC, and Hazelhurst, GA. The company is owned by the Godley family.
The company also maintains Godley Equipment Sales and GAC Trailer sales out of their auction offices. The Godley Family also operates the Frankie's Fun Parks Organization and they have parks located in Charleston, SC, Columbia, SC, Greenville, SC, and Raleigh, NC. Godley Auction Company has ownership in eighteen additional companies where have either total ownership or majority ownership in these companies.
- GODLEY REAL ESTATE HOLDINGS: The Godley Real Estate holdings held under Godley Auction Company and other Godley related companies. These properties and buildings are located throughout the southeast and the holdings will exceed thousands of acres of land and numerous buildings and warehouses.
- GODLEY MORRIS GROUP, LLC: The company was formed in January 1996 as a diversified investment company utilizing the capital resources of the Godley Companies. The company is headquartered in Lake City, South Carolina and since inception has made investments in twenty different companies and/or transactions. Godley Morris Group, LLC is owned 50% by the Godley Family and 50% by William C. Morris.
- GMG CAPITAL, LLC: Godley Morris Capital operates as a division of the Godley Morris Group and is wholly owned by Godley Morris Group, LLC and this company Provides capital or loans to corporations and individuals with strong loan to asset ratios. In most cases these monies are invested into foreclosure or depressed properties, buildings, or businesses. These investments have a strong collateral base. This company also handles all the securities investments and private placement transactions.
- GODLEY MORRIS GROUP REAL ESTATE HOLDINGS: Godley Morris Group, LLC owns various land holdings, buildings, and warehouses in the Southeast. In addition to this, Godley Morris Group owns the Godley Morris Commerce Center, which is a modern two hundred acre business/industrial center. The Commerce Center also houses the Godley Morris Building, which is the headquarters for the Godley Morris Group. The building also leases additional office space within the building to various financial, legal, and service related companies.
- HEALTHSPORT, INC. (HSPO): Godley Morris Group owns a substantial amount of shares, options, and warrants of this stock: Godley Morris Group was instrumental in putting this transaction together and the company is devoted to the Healthcare Industry.
- EFFTEC INTERNATIONAL, INC. (EFFI): Godley Morris Group owns a substantial amount of shares of this stock and it is a holding company that is in the Energy Technology Service area. It's products and services are sold worldwide.
- GLOBAL FUND CAPITAL PARTNERS: Global Fund Capital Partners is An International Venture Investment Fund and the Fund investment amount is $10 million. The Fund is managed totally by Godley Morris Group and is broken out into three areas: (1) Public and Private Equity, (2) Real Estate, and (3) Convertible Debt Transactions. The Fund was vested in January 2006.
- SOUTHERN STAR CAPITAL GROUP: Southern Star Capital Group, LLC is a domestic (USA) Real Estate Fund that acquires properties, both land and buildings, that are undervalued. The Fund targets properties that have potential growth and is undervalued, due to foreclosures or any other type depressed credit scenario. The Fund is managed by the Godley Morris Group and all properties are held in the name of the Fund. The Funds investment value is $100 million and the Fund will be fully vested the second to third quarter of 2006.
- CLYMOR INVESTMENTS, LLC: Clymor Investments is a partnership between William R. Clyburn, II and William C. Morris that invest in various real estate, private equity and public companies. At the present time, Clymor Investments owns a substantial equity position in Collegiate Athletic Resources, LLC and various commercial and residential real estate properties in the Florence, Conway, and coastal property located in Southern Georgetown County. It also has substantial ownership in Carva Tobacco Company, LLC, Tectonics, International, LLC, and Sea Mountain Development Company, LLC. The company is headquartered in the Godley Morris Commerce Center in Lake City, South Carolina.
- CARVA TOBACCO COMPANY, LLC: Carva Tobacco Company is a manufacturer and distributor of low tier cigarettes that are distributed throughout the United States and is also exported worldwide. It distributes it's brands, specifically Victory, and does certain private label brands. It manufactures it's products under the government's M.S.A. settlement plan as a NPM producer. This company is owned by Larry McNair, Sr. and Clymor Investments, LLC. The company is located in the Godley Morris Commerce Center in Lake City, South Carolina.
- TECTONICS INTERNATIONAL, LLC: Tectonics International is the contract grower in the Southeastern part of the United States, for Biosyntec Corporation which is located in France. Tectonics arranges production of the plant, Rosemary, and it the growing, collection, processing and the manufacturing of the end product that goes into the Biosyntec Patented Cigarette Filter that reduces cancer immensely. When capacity is reached on the Rosemary, it should total 100,000 acres of production. In addition to producing Rosemary for Biosyntec, Tectonics will also market the Rosemary to the food industry as an herb and spice product. - COLLEGIATE ATHLETIC RESOURCES, LLC (CAR): CAR is a diversified real estate investment company that will be developing the SportSuites Hotel/Condo concept throughout the United States. CAR will target high profile colleges and professional celebrities and earmark the SportSuite brand and product in the town or city that the profile team is located. The company will also attempt to provide certain other products that will match up to the SportSuite brand. Initially, CAR will develop the SportSuite product in Columbia, South Carolina and other Southeastern based cities and locations. The company anticipates taking this concept across the country and within the first seven years hopes to have up to one hundred fifty locations. - SEA MOUNTAIN DEVELOPMENT COMPANY, LLC: Sea Mountain is a real estate development company owned by Clymor Investments, LLC and Larry McNair, Sr. The company's focus is developing and acquiring properties from the Coastal Region of the Eastern part of the United States to the Mountain Regions of the Southeast. At the present time, Sea Mountain has multiple projects under review for acquisition and development in the Charleston, South Carolina area, the Clemson, South Carolina area, and the mountains of Western North Carolina.
